TERMS OF Business
Effective Date: 24th February 2023
Governing Law and Jurisdiction All business conducted by Rowda Group Ltd and its affiliated brands and entities (hereinafter referred to as “Rowda Group”) is governed by and construed in accordance with the laws of the United Kingdom. By engaging in business with Rowda Group, all parties agree to submit to the exclusive jurisdiction of the courts of the United Kingdom.
Confidentiality
- Obligation of Confidentiality: All parties engaging in business with Rowda Group must maintain the confidentiality of all proprietary information, trade secrets, and sensitive data disclosed in the course of business. This includes, but is not limited to, financial information, business strategies, client lists, and any other information that is not publicly available.
- Non-Disclosure: The confidential information must not be disclosed to any third party without the express written consent of Rowda Group, except where required by law. Unauthorized disclosure may result in legal action.
- Data Protection: All parties must comply with the Data Protection Act 2018 and any other relevant data protection legislation in the handling of any personal data obtained in the course of business.
Professional Conduct
- Professionalism: All parties engaging in business with Rowda Group are expected to maintain a high standard of professionalism at all times. This includes, but is not limited to, punctuality, reliability, and the delivery of services or products as agreed upon.
- Communication: All communications with Rowda Group and its representatives should be conducted in a respectful and professional manner. This includes email correspondence, telephone conversations, and in-person meetings.
- Compliance with Policies: All parties must comply with the operational policies and procedures of Rowda Group, including health and safety regulations, environmental policies, and any other standards set forth by the company.
Brand Representation
- Positive Representation: Any individual or entity engaging with Rowda Group must represent the brand in a positive and professional manner. This includes, but is not limited to, the appropriate use of branding materials, adherence to brand guidelines, and conducting business in a way that upholds the reputation of Rowda Group.
- Use of Brand Materials: The use of Rowda Group’s logos, trademarks, and other branding materials is strictly controlled and must only be used in accordance with the company’s branding guidelines. Unauthorized use of these materials is prohibited.
Liability
- Limitation of Liability: Rowda Group will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the business relationship. This includes, but is not limited to, loss of profits, loss of business opportunities, or loss of data.
- Indemnification: Parties engaging with Rowda Group agree to indemnify and hold harmless Rowda Group against any and all claims, damages, losses, and expenses arising out of the breach of these terms or any act of negligence.
Termination
- Right to Terminate: Rowda Group reserves the right to terminate any business relationship at its discretion, with or without cause. Termination may be immediate if there is a breach of these terms or any unlawful or unethical conduct.
- Consequences of Termination: Upon termination, all confidential information must be returned or destroyed as instructed by Rowda Group, and any outstanding payments or obligations must be fulfilled.
Miscellaneous
- Amendments: Rowda Group Ltd reserves the right to amend these terms at any time without prior notice to any parties. The latest version of the terms will always be available on our website (chaiiwala.co.uk). It is the responsibility of all parties engaging in business with Rowda Group to regularly review the terms to ensure compliance. Continued engagement in business with Rowda Group after any amendments have been made will constitute acceptance of the updated terms.
- Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement: These terms constitute the entire agreement between Rowda Group and the parties engaging in business with it and supersede any prior agreements or understandings.
